Introduction

These general terms and conditions apply to all services and activities of OneMinded. By using our services, you agree to these terms.

Definitions

  • OneMinded: The service provider located at Nijverheidsweg 7, 5672 BT Eindhoven.

  • Client: Any natural or legal person who uses the services of OneMinded.

  • Services: All IT outsourcing, consultancy, and resourcing services offered by OneMinded.

Applicability

These general terms and conditions apply to all offers, agreements, and services of OneMinded, unless explicitly agreed otherwise in writing.

Services and Delivery

  • OneMinded will make every effort to perform the agreed services to the best of its ability and in accordance with professional standards.

  • The client must timely provide all necessary information for proper execution of the services.

  • Delivery times are indicative and not strict deadlines, unless explicitly agreed otherwise.

Fees and Payment

  • The client is obliged to pay the agreed fee within the specified payment term.

  • In case of late payment, OneMinded reserves the right to suspend or terminate the service.

  • All prices are exclusive of VAT, unless stated otherwise.

Intellectual Property

  • All intellectual property rights to the services and materials provided by OneMinded remain the property of OneMinded, unless otherwise agreed in writing.

  • The client receives a limited, non-exclusive right to use the delivered products and services.

Liability

  • OneMinded is not liable for indirect damages, such as consequential loss, lost profits, or data loss.

  • OneMinded's liability is limited to the amount the client has paid for the service in question.

Force Majeure

  • OneMinded is not obliged to fulfill any obligation if it is hindered by force majeure, such as disruptions, strikes, or natural disasters.

  • In the event of force majeure, OneMinded will inform the client as soon as possible and seek an appropriate solution.

Confidentiality and Data Protection

  • Both parties are required to keep confidential information secret.

  • OneMinded processes personal data in accordance with applicable privacy laws. See our Privacy Policy for more information.

Termination of the Agreement

  • Both parties can terminate the agreement in writing with a notice period as specified in the agreement.

  • In case of early termination, OneMinded is entitled to compensation for already incurred costs and delivered services.

Changes to the General Terms and Conditions

OneMinded reserves the right to amend these general terms and conditions. The most recent version will always be available on our website.

Applicable Law and Disputes

  • These general terms and conditions are governed by Dutch law.

  • Disputes will be submitted to the competent court in the Netherlands.
